1. Agreement to these terms
These Terms of Service ("Terms") are a binding agreement between you and Open Growth Group Inc., a corporation incorporated in the State of Delaware, United States ("Open Growth Group", "we", "us", or "our"). They govern your access to and use of SocialReply, our multi-channel conversational-marketing automation platform (the "Service"). By creating an account, connecting a channel, or otherwise using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree, do not use the Service.
2. Acceptable use
SocialReply integrates with third-party messaging and social platforms exclusively through each vendor's official, sanctioned API and app-review process. This is a firm operating principle, not a marketing claim.
- We connect to Instagram, Facebook Messenger, WhatsApp, Telegram, TikTok, YouTube, SMS, email, and every other supported channel solely through that vendor's official API (for example, the Meta Graph API, the WhatsApp Cloud API, the Telegram Bot API, the TikTok API for Business, the YouTube Data API, and our telephony and email providers' APIs) using OAuth or another vendor-sanctioned authorization flow.
- We never scrape, crawl, or otherwise programmatically extract data from a channel's website or app outside of its official API.
- We never engage in credential harvesting: we never ask for, store, or use your channel account password, and we never automate a browser session to impersonate you. Access is always granted through the vendor's own consent screen and is revocable at any time from that vendor's own settings.
You agree not to use the Service to violate any connected platform's terms of service or developer policies, to send unsolicited bulk messages outside a platform's messaging-window rules, or to attempt to circumvent, reverse-engineer, or bypass any official API's rate limits or access controls.
3. Accounts and access
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate registration information and promptly update it if it changes. Workspace owners and admins are responsible for the actions of every team member they invite.
4. The Service
SocialReply provides a flow builder, live-chat inbox, broadcasts, sequences, contact management, and analytics for channels you connect via official vendor APIs. Availability of a given feature depends on what each vendor's API actually supports; we do not ship a feature that only works by circumventing that constraint.
5. Fees and payment
Paid plans are billed in advance on a recurring subscription basis as described at checkout or in your workspace's billing settings. You authorize Open Growth Group Inc. and its payment processor to charge your payment method for each renewal term until you cancel. Fees are stated exclusive of taxes, and you are responsible for any applicable sales, use, VAT, or similar taxes. Fees are non-refundable except where required by law or expressly stated otherwise. We may change pricing for a future renewal term with at least 30 days' notice; usage in excess of your plan's included quotas may be billed separately or gated as described in your billing settings.
6. Data and privacy
Our collection and use of your data, including data received from connected platforms, is described in our Privacy Policy. Instructions for requesting deletion of your data are described in our Data Deletion page. As between you and Open Growth Group Inc., you retain all rights to the contact records, message content, and other data you submit or that we receive on your behalf from a connected channel ("Your Data"). You grant us a limited licence to host, process, and transmit Your Data solely to provide and support the Service. You are responsible for having a lawful basis and any required consent to message the contacts you upload or reach through the Service.
7. Third-party platform terms
Your use of a connected channel remains subject to that platform's own terms of service and policies (for example, Meta's Platform Terms and Developer Policies). SocialReply is not responsible for a connected platform's decisions about your account, including suspension or removal of API access, though we will make reasonable efforts to help you understand and respond to such a decision.
8. Termination
You may stop using the Service and delete your workspace at any time from your workspace settings. We may suspend or terminate access to the Service if you violate these Terms, including the acceptable use section above, if your use creates a security or legal risk to us or another customer, if you fail to pay fees when due, or if required to do so by a connected platform's own enforcement action. Where practicable and lawful, we will give notice before suspending access. On termination, your right to use the Service ends immediately; you may export Your Data before deletion, and we will delete or de-identify Your Data in accordance with our Privacy Policy and any retention period required by law. Sections covering fees already incurred, data and privacy, disclaimers, limitation of liability, and governing law survive termination.
9. Disclaimer of warranties; limitation of liability
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any connected platform will remain available to you. To the maximum extent permitted by law, Open Growth Group Inc. is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of the Service, including damages arising from a connected platform's own outage, policy change, rate limiting, or account action. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months preceding the event giving rise to the claim, or one hundred US dollars. Some jurisdictions do not allow certain exclusions, so some of these limitations may not apply to you.
10. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. You and Open Growth Group Inc. agree that the state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction and venue in those courts. Nothing in this section prevents either party from seeking injunctive relief in any competent court to protect its intellectual property or confidential information.
11. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as an in-app notice or an email to the address on your account, before the changes take effect. Your continued use of the Service after the effective date of a change constitutes acceptance of the revised Terms. If you do not agree to a change, stop using the Service and delete your workspace before the change takes effect.
